Terms and Conditions for Caribbean Impact Market (CIM)
Welcome to Caribbean Impact Market (“CIM,” “we,” “us,” or “our”), a digital marketplace connecting Caribbean businesses and consumers across 28 dependencies. By accessing or using our platform at caribimpact.market, you agree to be bound by these Terms and Conditions (“Terms”).
1. Acceptance of Terms
By accessing or using CIM, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our platform.
2. Marketplace Overview
2.1 Platform Description
CIM is a digital marketplace facilitating transactions between vendors and buyers of Caribbean products and services, with a focus on sustainable regional trade.
2.2 Commission Structure
- CIM charges a 5% commission on all successful transactions (3% platform fee + 2% innovation fee)
- Vendors are responsible for setting their own prices, inclusive of our commission
- There are no entry fees or membership costs to join as a vendor
2.3 Payment Processing
- We accept traditional payment methods and CARET tokens
- All financial transactions are processed through secure third-party payment processors
- CARET token transactions are subject to blockchain verification processes
3. User Accounts
3.1 Account Creation
- You must be at least 16 years old to create an account
- In jurisdictions where the age of majority is higher than 16, you must meet the local legal requirements
- You must provide accurate, current, and complete information
- You are responsible for maintaining the confidentiality of your account credentials
3.2 Account Types
- Buyer accounts: For individuals and businesses purchasing products
- Vendor accounts: For businesses selling products or services
- Each account type has specific rights and responsibilities detailed in our Vendor and Buyer Guidelines
3.3 Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or otherwise misuse our platform.
4. Vendor Responsibilities
4.1 Product Listings
- Vendors must provide accurate descriptions, images, and pricing
- Products must comply with all applicable laws and regulations
- Prohibited items include illegal goods, counterfeit products, and items that violate intellectual property rights
4.2 Fulfillment and Shipping
- Vendors are responsible for product fulfillment and delivery
- Shipping policies must be clearly communicated to buyers
- Vendors must comply with cross-border shipping regulations when applicable
4.3 Customer Service
- Vendors must respond to customer inquiries within 48 hours
- Vendors are responsible for handling returns and refunds according to their stated policies
- CIM may intervene in disputes between vendors and buyers
5. Buyer Responsibilities
5.1 Payment Obligations
- Buyers must complete payment for orders through our approved payment methods
- Orders are not confirmed until payment is received and verified
5.2 Communication
- Buyers should communicate any issues directly with vendors before seeking CIM intervention
- Feedback should be honest, fair, and based on actual experiences
5.3 Returns and Refunds
- Return and refund policies are set by individual vendors
- Buyers must comply with the vendor’s stated policies
- CIM may facilitate dispute resolution when necessary
6. CARET Token Integration
6.1 Token Usage
- CARET tokens may be used for purchases on the platform
- Token values are subject to market fluctuations
- We do not guarantee the future value of CARET tokens
6.2 KYC/AML Compliance
- Users engaging in CARET token transactions may be subject to Know Your Customer (KYC) and Anti-Money Laundering (AML) verification
- Failure to complete required verification may limit token functionality
6.3 Blockchain Transactions
- Token transactions are recorded on the blockchain and cannot be reversed
- Users are responsible for the security of their wallet credentials
7. Intellectual Property
7.1 Platform Content
- CIM content, including logos, design, and text, is protected by intellectual property rights
- Users may not copy, modify, or distribute our content without permission
7.2 User Content
- By uploading content to CIM, you grant us a non-exclusive license to use, display, and distribute that content
- You represent that you have all necessary rights to the content you upload
7.3 Intellectual Property Claims
- We respect intellectual property rights and will respond to notices of alleged infringement

8. Limitation of Liability
8.1 Disclaimer of Warranties
CIM is provided “as is” without warranties of any kind, either express or implied.
8.2 Limitation of Liability
To the maximum extent permitted by law, CIM shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
8.3 Indemnification
You agree to indemnify and hold harmless CIM from any claims arising from your use of the platform or violation of these Terms.
9. Dispute Resolution
9.1 Governing Law
These Terms shall be governed by the laws of the Netherlands, without regard to conflict of law principles.
9.2 Arbitration
Any dispute arising from these Terms shall be resolved through binding arbitration in Amsterdam, Netherlands.
9.3 Class Action Waiver
You waive any right to participate in a class action lawsuit against CIM.
10. Changes to Terms
We may modify these Terms at any time by posting the revised version on our website. Your continued use of CIM after changes constitutes acceptance of the updated Terms.
